NSP Member Petition Update

> The “Petition” is Successful Over 3000 members, in just one week, have voted in favor of giving all members the right to vote on the proposed amendments to the NSP Articles of Incorporation concerning nomination process, voting rights, term limits and member rights.

> Member Vote is Legally Mandated Now that a petition member vote of 10+% has been reached, Colorado Statute Law* mandates that NSP must have a member vote on the proposed amendment changes.

Email Blast from NSP ………… You Make Up Your Mind

> What is Bad About a Member Vote? What could be bad about allowing a member vote on the proposed amendments and allowing both NSP and members to debate the merits in a democratic manner?

> NSP Knew of the Petition Success. NSP was notified in writing about the successful member Petition vote mandating a member vote prior to sending out their email blast.

> NSP will Fight and NOT Honor the Member’s Right to Vote. Knowing the member petition had passed, NSP stated “the board will be forced to spend substantial NSP resources to defend the organization” and therefore will NOT honor the members right to vote. This is a violation of NSP’s fiduciary duty and Colorado State Statute law.

> Costly to You? NSP’s decision to go to court and spend your money is not required, if they allow the member vote as mandated by statute law.

> No Discussion Initiated. NSP did not initiate any discussions with the authors of the petition prior to sending out their email blast. NSP should have the common courtesy and the duty to communicate with the authors prior to sending out their defamatory and inflammatory email.

> True Agenda? NSP claims the true agenda of the Petition is “to preserve their (small group of disenchanted members) current political positions at your expense”. How can that be, no officers initiating or supporting this petition are in a national office affected by the proposed amendments, so what is there to preserve?

> Your Right to Vote? Yes, we can vote today for a Board candidate, but your vote is effectively meaningless. (Go to “Did You Know” or read the NSP Bylaws.)

* Colorado State Statue 7-130-103. Amendment of articles of incorporation by board of directors and members. (1) Unless articles 121 to 137 of this title, the articles of incorporation, the bylaws, or the members or the board of directors acting pursuant to subsection (5) of this section require a different vote or voting by class, the board of directors or the members representing at least ten percent of all of the votes entitled to be cast on the amendment may propose an amendment to the articles of incorporation for submission to the members.

(4) The nonprofit corporation shall give notice, in accordance with section 7-127-104, to each member entitled to vote on the amendment of the members' meeting at which the amendment will be voted upon. The notice of the meeting shall state that the purpose, or one of the purposes, of the meeting is to consider the amendment, and the notice shall contain or be accompanied by a copy or a summary of the amendment OR SHALL STATE THE GENERAL NATURE OF THE AMENDMENT.
